These Terms of Service govern the freelance software development and consulting services provided by
Takshak Tiwari, an independent professional based in Indirapuram, Ghaziabad, Uttar
Pradesh, India. By engaging my services or using this website, you agree to these terms.
Services Offered
I provide the following services on a freelance basis:
- Custom web application development (Laravel, PHP, React, Vue.js)
- REST API design, development, and integration
- AI API integration (OpenAI, Claude, AWS Bedrock, Groq Cloud)
- Database design, optimization, and performance tuning (MySQL, Redis)
- SaaS and digital product development
- Technical consulting, architecture review, and code review
- Server setup, deployment, and maintenance
Project Engagement
- All projects are custom-scoped. A written proposal detailing deliverables, timeline, and cost
is provided before work begins.
- Work commences only after both parties agree on the scope and terms in writing (email is
acceptable).
- Changes to the agreed scope may affect the timeline and cost, and will be communicated
transparently.
Pricing & Invoicing
- As my services are bespoke and tailored to individual business needs, I do not offer fixed price packages.
- Each project is quoted based on the complexity, technical requirements, and estimated development hours.
- Detailed invoices are provided for every payment milestone, clearly stating the services rendered.
Service Delivery Policy
- Digital services and custom software are delivered electronically via Git repositories, cloud deployment, or direct file transfer.
- The timeline for delivery is agreed upon at the start of the project and documented in the project proposal.
- A project is considered 'delivered' when the agreed-upon code or application is handed over to the client as per the final milestone.
Payment Terms
- Pricing is agreed per project or on a milestone basis, as defined in the project proposal.
- Payments can be made via bank transfer, PayPal, Razorpay, Wise, or other mutually agreed
methods.
- International payments in USD or other currencies are accepted.
- Invoices are issued at agreed milestones or project completion.
- Late payments may result in work being paused until outstanding amounts are settled.
Intellectual Property
- All original work produced for a client becomes the client's property upon receipt of full
payment.
- Until full payment is received, I retain intellectual property rights over all delivered
work.
- I reserve the right to reference completed projects in my portfolio unless the client
requests confidentiality in writing.
- Open-source libraries and third-party tools used in projects are governed by their own
respective licences.
Confidentiality
I treat all client information, business logic, and project details as strictly confidential.
I will not disclose any client data or project details to third parties without explicit written
consent, except where required by law.
Refund & Cancellation Policy
- Work delivered as per the agreed specifications is non-refundable.
- If delivered work does not meet the agreed specifications, I will make reasonable efforts to
fix it at no additional charge.
- If a project is cancelled by the client after work has begun, payment is due for all work
completed up to that point.
Limitation of Liability
My total liability for any claim arising from my services is limited to the amount paid for the
specific work in question. I am not liable for any indirect, incidental, consequential, or special
damages arising from the use of delivered software.
Governing Law
These terms are governed by the laws of India. Any disputes arising out of or in connection with
these terms shall be subject to the exclusive jurisdiction of the courts of Ghaziabad, Uttar
Pradesh, India.
